TeraGo Announces Bought Deal Offering of Common Shares

Toronto, ON – June 11, 2019 – TeraGo Inc. (“TeraGo” or the “Company”) (TSX: TGO, www.terago.ca), has announced today that it has entered into an agreement with a syndicate of underwriters (collectively, the “Underwriters”) led by TD Securities Inc., under which the Underwriters have agreed to buy on a bought deal basis an aggregate of 700,000 common shares (the “Shares”), at a price of $11.00 per Share for gross proceeds of $7.7 million (the “Offering”). TeraGo has granted the Underwriters an over-allotment option, exercisable at the offering price for a period of 30 days following the closing of the Offering, to purchase up to an additional 15% of the total number of Shares sold under the Offering to cover over-allotments, if any (the “Over-Allotment Option”). If the Over-Allotment Option is exercised in full, the gross proceeds will be approximately $8.9 million.

The Company intends to use the net proceeds of the Offering to fund technical and customer trials related to 5G technology in support of launching 5G fixed wireless services in Canada and for general corporate purposes.

On or before June 17, 2019, the Company will file with the securities commissions or similar regulatory authorities in all of the provinces of Canada, a preliminary short form prospectus relating to the issuance of the Shares. The Offering is anticipated to close on or about July 3, 2019 and is subject to certain customary conditions and regulatory approval, including the approval of the Toronto Stock Exchange and the securities regulatory authorities.
